Sarge-P Platform Terms of Service / License Agreement (DRAFT — for solicitor review)

This is a starting draft only. It has not been reviewed by a solicitor and must not be relied on as final legal terms, particularly given Sarge-P processes staff/employee personal data, payment data, and device location data. Have this reviewed and adapted by a qualified solicitor (and consider whether a separate Data Processing Agreement is needed alongside it — see note at the end) before it goes live.

1. Parties and acceptance

This agreement is between Door10 ("we", "us", "Sarge-P") and the organisation or individual registering a venue/agency admin account ("Client", "you"). By creating an account, or by clicking "I agree" at sign-up, you accept these terms on behalf of yourself and, where you are signing up on behalf of an organisation, that organisation.

2. What Sarge-P is

Sarge-P is a staffing and shift-management platform that allows venues and agencies to manage staff rosters, event staffing, on-site sign-in/sign-out (including location-based verification, see clause 8), equipment tracking, incident reporting, and related administrative functions.

3. License grant

Subject to your compliance with these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the platform for your internal staffing and event-management purposes, for the duration of your subscription.

4. Your account and responsibilities

You are responsible for the accuracy of information you enter, for keeping your login credentials secure, and for ensuring anyone you invite to the platform (staff, area managers, agency partners) is authorised to use it on your behalf. You are responsible for your own compliance with employment law, health and safety law, and data protection law in how you use the platform to manage your staff.

5. Fees and payment

6. Data protection

We process personal data (including staff names, contact details, shift records, and — where enabled — device location data at sign-in/out) as a data processor acting on your instructions as data controller for your staff's data, in accordance with UK GDPR and the Data Protection Act 2018. [This clause needs to be backed by a proper Data Processing Agreement (DPA) — see note at the end of this document. Do not treat this single clause as sufficient on its own.]

7. Acceptable use

You agree not to use the platform to store or process data you are not lawfully entitled to process, to attempt to access data belonging to another venue or agency, or to use the platform in a way that could bring Door10 into disrepute or breach applicable law.

8. Location-based features

Where enabled by you, the platform verifies a staff member's device location at the point they sign in or out, and performs a single location check when the app is reopened while they remain signed in, in order to confirm they are on-site. This does not involve continuous or background tracking of staff location. You are responsible for ensuring your own staff are properly informed of this feature (see the staff-facing terms) and that your use of it complies with your obligations as an employer/data controller, including under UK GDPR's data minimisation principle.

9. Intellectual property

We retain all rights in the platform, its software, and its design. Nothing in this agreement transfers ownership of the platform to you.

10. Warranties and disclaimers

11. Limitation of liability

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

14. Changes to these terms

We may update these terms from time to time. Material changes will require re-acceptance before continued use of the platform (see version tracking in the technical integration).

IMPORTANT NOTE ON DATA PROTECTION: given Sarge-P processes employee personal data on behalf of venues/agencies (a controller-processor relationship under UK GDPR), a separate, proper Data Processing Agreement (DPA) — covering processing instructions, sub-processors (e.g. Resend for email, your object-storage provider for briefings/uniform images), data retention, breach notification, and international transfer safeguards if any sub-processor is outside the UK/EEA — is the correct legal instrument for that relationship, not a clause folded into a general ToS.
