Sarge-P Terms of Service

Sarge-P is provided by P-SaaS Ltd ("we", "us", "our"), a company registered in England and Wales (company number 17130373). These terms govern use of the platform by organisations that register a venue or agency admin account ("Client", "you").

The version you accept at account registration is recorded in the platform. This public page is a due-diligence summary; the authoritative text is the version presented and accepted in-product. Staff and agency users invited by a venue or agency accept separate user terms at registration.

1. What Sarge-P is

Sarge-P is a shift scheduling and agency management platform. Venues and agencies use it to manage staff rosters, event staffing, on-site sign-in and sign-out (including optional location verification at check-in/out), operational checklists, and related administrative functions. We provide software only — we do not employ temps, operate a worker marketplace, or take commission on agency placements.

2. Licence and acceptable use

Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the platform for your internal staffing and event-management purposes for the duration of your subscription.

You are responsible for the accuracy of information you enter, for keeping login credentials secure, and for ensuring anyone you invite (staff, area managers, agency partners) is authorised to use the platform on your behalf. You must not use the platform to process data you are not lawfully entitled to process, to access another organisation's data, or in any way that breaches applicable law.

3. Your compliance obligations

You remain responsible for your own compliance with employment law, health and safety law, and data protection law in how you use Sarge-P to manage staff — including accurate payroll records, working-age verification, and informing staff about any monitoring features you enable (such as location verification at sign-in). 4. Fees and payment

Subscription fees depend on the contract tier you select at signup (no-contract, 2-year, or 5-year). Each tier has a per-head rate applied to peak attended headcount on your busiest day of the billing month, subject to a monthly minimum charge. Current rates are shown on the pricing page and at registration.

There is no setup fee or one-off onboarding charge. You may explore the platform without entering payment details until your organisation passes the usage gate (staff and event thresholds on the platform).

Fees are billed monthly in arrears for the previous calendar month. On the first day of each following month (02:00 UTC), we create a Stripe invoice and automatically charge your saved payment method. This is same-day collection, not a separate 14-day payment-terms window. There is no proration within a month: peak attended headcount on your busiest day that month determines the charge for the full calendar month.

5. Referrals

Refer a customer and get 3 months' Sarge-P credit

When an organisation you refer becomes a paying Sarge-P customer, we'll add £150 credit to your account — equivalent to three months of Sarge-P based on a peak workforce of 50 staff per month.

You can earn up to two referral rewards per year.

6. Data protection

Where you input data about your staff (rotas, contact details, pay rates, agency spend figures, etc.), you are the data controller and we process that data on your behalf as a data processor under UK GDPR and the Data Protection Act 2018.

[Placeholder — legal review required] A separate Data Processing Agreement (DPA) covering processing instructions, sub-processors, retention, breach notification, and international transfer safeguards should accompany these terms for multi-year contracts — do not treat a summary clause alone as sufficient.

7. Location-based features

Where enabled, the platform may verify a staff member's device location at sign-in or sign-out, and perform a single location check when the app is reopened while they remain signed in, to confirm on-site attendance. This is not continuous or background tracking. You are responsible for ensuring staff are properly informed and that your use complies with your obligations as employer or data controller.

8. Intellectual property

We retain all rights in the platform, its software, and its design. Nothing in these terms transfers ownership of the platform to you.

9. Warranties, liability, and termination

No-contract tier. If you cancel, you continue to be billed and retain access until the end of the current billing month. Your data is deleted automatically after your final monthly bill is collected (typically on the 1st of the following month).

2-year or 5-year contract tiers.You cannot cancel early without buying out the remaining contract term at £40 per remaining month. Once that buyout is paid, cancellation and data deletion happen immediately.

Data on termination. Sarge-P does not offer a single bulk export of your entire organisation dataset when you leave. You may request permanent deletion via venue Settings or by contacting us. While your account is active, CSV downloads (payroll, reports, compliance, and similar) export subsets of operational data; together they may cover much of what you entered, but there is no one-click export of everything and no export on termination.

10. Governing law and changes

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

We may update these terms from time to time. Material changes require re-acceptance in the platform before continued use.
